Registering to change the content of the Business Registration Certificate is stipulated in Article 30 of the Enterprise Law 2020 as follows:

Register to change the content of the Business Registration Certificate

1. Enterprises must register with the Business Registration Authority when changing the content of the Business Registration Certificate specified in Article 28 of this Law.

2. Enterprises are responsible for registering changes to the content of the Business Registration Certificate within 10 days from the date of change.

3.经营登记机关自收到申请之日起3个工作日内负责审核申请的有效性并核发新的商业登记证；资料无效的，经营登记机关应当将需要修改或者补充的内容书面告知企业。 In case of refusal to issue a new Business Registration Certificate, the enterprise must be notified in writing and clearly state the reason.

4. Registration to change the content of the Business Registration Certificate according to the decision of the Court or Arbitration is carried out according to the following order and procedures:

a) The person requesting to register to change the content of the Business Registration Certificate sends a request to register the change to the competent Business Registration Agency within 15 days from the date the Court’s judgment or decision takes legal effect or the Arbitrator’s decision takes effect.登记档案必须附有发生法律效力的法院判决、决定或者生效的仲裁裁决的副本；

b) 自收到本条a点规定的登记请求之日起03个工作日内，经营登记机关负责根据已发生法律效力的法院判决、决定或生效的仲裁裁决的内容审核并签发新的商业登记证；资料无效的，经营登记机关应当将需要修改或者补充的内容书面告知申请变更登记人。如果拒绝发出新的商业登记证，必须以书面形式通知要求变更登记的人并明确说明理由。

1．企业名称和企业代码；

2.企业总部地址；

3．有限责任公司、股份有限公司法定代表人的姓名、联系地址、国籍、法定代表人证件号码；对于合伙企业的普通成员；对于私营企业主。个人会员的姓名、联系地址、国籍、法定证件号码；有限责任公司组织成员名称、企业代码、总部地址；

4．公司注册资本，私营企业投资资本。

根据上述规定，注册资本是商业登记证记载的内容之一。

服务贸易有限责任公司变更注册资本时，必须向公司总部所在地的经营登记机关提交变更商业登记内容的登记资料。

该档案包括第 01/2021/ND-CP 号法令第 51 条第 1 款规定的以下文件：

（一）企业法定代表人签署的工商登记内容变更通知书。

（二）董事会关于变更注册资本的决议、决定和会议记录。

（三）按照投资法规定须办理出资登记、购买出资手续的，投资登记机关批准外国投资者、外商投资经济组织出资、购买出资的文件。
