Registering a change of business name is a mandatory procedure that businesses in general and joint stock companies in particular must carry out when there is a need to change the company name. So how is this procedure performed? This article provides detailed instructions on how to change a business name according to the provisions of the Law on Enterprises 2020.

1. Registration preparation documents

Pursuant to Article 48 of Decree 01/2021/ND-CP, Registration documents to change the business name include the following documents:

  • Copy of the Minutes of the General Meeting of Shareholders on changing the business name;
  • Decision of the General Meeting of Shareholders on changing the company name company;
  • Notification of change in business registration content;
  • Authorization document to carry out registration procedures to change the name of a joint stock company (In case of authorization to carry out change registration procedures);
  • Valid copy of citizen identification card or ID card or valid passport of the authorized person rights.

2. Order and procedures for registering a change of business name in a Joint Stock Company

1. Application method

  • Submit directly to the Business Registration Office under the Department of Planning and Investment (Business Registration Office) of the province/city where the business is headquartered.
  • Submit documents via postal service.
  • Submit online documents via electronic network at the National Business Registration Portal at the address: https://dangkylanhdoanh.gov.vn).

2. Sequence and procedures for registering a change of business name

Case 1: Registering a change directly at the Business Registration Office

Step 1. Submit the application

  • Within 10 days from the date of completing the change of business name, the registrant submits the application to the Business Registration Office and pays the registration fee register.
  • The registrant submits the application at the one-stop section at the Business Registration Office and pays the registration fee.
  • The Business Registration Office receives the application and returns to the submitter a Receipt of receipt of the application for business establishment registration.

Step 2. Appraisal and return results

  • The Business Registration Department re-issues the Business Registration Certificate within 03 working days from the date of receipt of the application.
  • In case the application is not valid, the Business Registration Department will send a written notice of the contents that need to be amended and supplemented to the registrant within 03 working days from the date of receipt of the application.

Case 2. Registering electronically using the Business Registration Account

– The registrant submits the application using the Business Registration Account to declare information, download electronic documents and sign to authenticate the business registration application via the electronic information network and pay business registration fees and charges according to the process on the national business registration portal ( https://dangkylanhdoanh.gov.vn )

– After completing the submission of registration documents, the applicant will receive a Receipt of registration documents to change the business name via the electronic information network.

– The Business Registration Office issues business registration to the enterprise in case the application is eligible and notifies the approval of the application. Change the name of the enterprise. In case the dossier does not meet the conditions, the Business Registration Office will send a notice via electronic information network to the enterprise to request amendments and supplements to the dossier.
