ANT Legal’s enterprise establishment service accompanies individuals and organizations from choosing the enterprise type and preparing dossiers until the enterprise operates stably and fully complies with the law. With a team of lawyers well-versed in the Law on Enterprises 2020 and Decree 168/2025/ND-CP on enterprise registration, we help clients establish their enterprises lawfully, according to their needs, and minimize legal risks arising later.

What does ANT Legal support when establishing an enterprise?

1. Advising on the choice of enterprise type: Analyzing the pros and cons of single-member LLCs, multi-member LLCs, joint-stock companies, partnerships and sole proprietorships — in terms of asset liability, governance structure, capital mobilization capacity and tax obligations — so clients can choose the model suited to their scale and business direction.

3. Drafting enterprise registration dossiers: Preparing the complete enterprise registration application, company charter, list of members/shareholders and other documents as required by Decree 168/2025/ND-CP.

4. Representing clients in filing and receiving results: Filing dossiers on behalf of clients at the business registration authority, tracking the processing progress, supplementing dossiers upon request, and receiving the Enterprise Registration Certificate.

5. Post-establishment support: Guiding seal engraving, bank account opening, digital signature registration, initial tax declaration; advising on periodic compliance procedures such as reporting, information disclosure and tax obligations.

Implementation process

Step 1 — Receiving and advising: The lawyer receives the requirements, advises on the enterprise type, capital, business lines and answers related legal questions.

Step 2 — Dossier preparation: The client provides personal/legal-entity documents; ANT Legal drafts the entire dossier and sends it to the client for review and signing.

Step 3 — Filing and receiving results: ANT Legal files the dossier on the client’s behalf, tracks it and receives the Enterprise Registration Certificate to hand over to the client.

Step 4 — Post-establishment support: Guiding the necessary procedures for the enterprise to start operations and comply with the law.

Why have a lawyer handle it?

Enterprise establishment dossiers seem simple, but many are returned due to incorrect enterprise names (duplicated, confusing), business lines registered with wrong VSIC codes, charters lacking mandatory contents, or missing documents proving conditions for conditional business lines. A lawyer helps standardize the dossier from the start, while advising on long-term matters such as capital contribution structures, shareholder agreements and tax compliance — issues that are very costly to fix later if done wrong from the beginning.
