Commercial Dispute Resolution Advisory
Late payment by a partner, delivery of substandard goods, unilateral contract termination — if handled slowly or incorrectly, a commercial dispute turns into a real loss: expiry of the limitation period, erosion of evidence, dissipation of the breaching party’s assets. This page systematizes the right approach to commercial disputes in Vietnam.
Core Legal Framework
- Limitation period for lawsuits: for commercial disputes it is 2 years from the time lawful rights and interests were infringed (Article 319 of the Commercial Law 2005), unless otherwise prescribed by law — shorter than the ordinary civil limitation period (3 years), so early action is needed;
- Penalty for breach: the penalty level is agreed by the parties but must not exceed 8% of the value of the breached contractual obligation (Article 301 of the Commercial Law 2005);
- Damages: the breaching party must compensate for actual, provable damages, including lost profits (Articles 302–307 of the Commercial Law 2005).
Roadmap for Handling Commercial Disputes
- Quick assessment: identifying the breached clause, damages, available evidence, and especially the dispute resolution clause in the contract (court or arbitration);
- Negotiation and demand letters: written demands for performance/compensation — both a chance for quick resolution and evidence of good faith and timelines;
- Conciliation (where suitable): at a commercial conciliation center;
- Filing with the Court or Arbitration as agreed: preparing the statement of claim, evidence, and requesting interim emergency measures if there is a risk of asset dissipation;
- Enforcement: after an effective judgment/award, requesting enforcement for actual recovery.
Common Mistakes
- Waiting, deferring to the partner out of courtesy, until the limitation period expires;
- Not checking the arbitration clause in the contract, filing with the wrong forum and being dismissed;
- Conducting important exchanges only by phone, with nothing in writing;
- Not requesting interim emergency measures, so that by the time the case is won, the losing party has no assets left.
