1. What is a business registration certificate?

According to the provisions of Article 28 of the Law on Enterprises 2020 as follows:

“Article 28. Contents of Business Registration Certificate

The business registration certificate includes the following main contents:

1. Business name and business code;

2. Address of the enterprise’s headquarters;

3. Full name, contact address, nationality, legal document number of individual for legal representative of limited liability company and joint stock company; for general members of a partnership; for business owners of private enterprises. Full name, contact address, nationality, legal document number of individual for individual members; name, business code and head office address of the organizational member for a limited liability company;

4. charter capital for companies, investment capital for private enterprises.”

2. What should I do if a limited liability company loses its original Business Registration Certificate?

According to the provisions of Clause 2, Article 27 of the Law on Enterprises 2020, in case an enterprise loses its Business Registration Certificate, the enterprise may apply for a re-issue of the Enterprise Registration Certificate and must pay fees according to the provisions of law:

“Article 27. Issuance of Business Registration Certificate

2. In case the Business Registration Certificate is lost, damaged or destroyed in another form, the enterprise will be re-issued the Business Registration Certificate and must pay fees according to the provisions of law.”

3. What does the application for re-issuance of the Business Registration Certificate of a Limited Liability Company include?

Pursuant to Clause 1, Article 68 of Decree 01/2021/ND-CP, the application for re-issuance of the Business Registration Certificate is as follows:

“Article 68. Re-issuance of Business Registration Certificate, Certificate of change in business registration content

“1. In case an enterprise needs to have its Business Registration Certificate, confirmation of change in business registration content, certificate of branch or representative office operation registration, confirmation of change in branch or representative office operation registration content due to loss, fire, tear, destruction or destruction in another form, the enterprise shall send a written request for re-issue to the Business Registration Office where the enterprise is headquartered. The Business Registration Office will consider reissuing within 03 working days from the date of receipt of the written request.”
