Dossier for Re-Issuance of the Enterprise Registration Certificate of an LLC

A limited liability company has lost the original Enterprise Registration Certificate — what must it do to apply for re-issuance of the lost certificate?

1. What is the Enterprise Registration Certificate?

Under Article 28 of the Law on Enterprises 2020:

“Article 28. Contents of the Enterprise Registration Certificate

The Enterprise Registration Certificate includes the following main contents:

1. The enterprise name and enterprise code;

2. The address of the enterprise’s head office;

3. Full name, contact address, nationality, number of legal personal identification documents of the legal representative of the limited liability company and joint stock company; of the general partner of the partnership; of the owner of the private enterprise. Full name, contact address, nationality, number of legal personal identification documents of an individual member; name, enterprise code and address of the head office of an organizational member for a limited liability company;

4. Charter capital for a company, investment capital for a private enterprise.”

2. What must a limited liability company that has lost the original Enterprise Registration Certificate do?

Under Clause 2 of Article 27 of the Law on Enterprises 2020, where an enterprise loses its Enterprise Registration Certificate, the enterprise may apply for re-issuance of the Enterprise Registration Certificate and must pay fees as prescribed by law:

“Article 27. Issuance of the Enterprise Registration Certificate

…

2. Where the Enterprise Registration Certificate is lost, damaged or destroyed in another form, the enterprise is granted a re-issued Enterprise Registration Certificate and must pay fees as prescribed by law.”

3. What does the dossier for re-issuance of the Enterprise Registration Certificate of a limited liability company include?

Pursuant to Clause 1 of Article 68 of Decree 168/2025/ND-CP, the dossier for re-issuance of the Enterprise Registration Certificate is as follows:

“Article 68. Re-issuance of the Enterprise Registration Certificate, Confirmation of changes to enterprise registration contents

“1. Where an enterprise needs re-issuance of the Enterprise Registration Certificate, the confirmation of changes to enterprise registration contents, the certificate of operation registration of a branch or representative office, or the confirmation of changes to the operation registration contents of a branch or representative office due to loss, burning, tearing, damage or destruction in another form, the enterprise sends a written request for re-issuance to the provincial business registration authority where the enterprise’s head office is located. The provincial business registration authority considers re-issuance within 03 working days from the date of receipt of the written request.”

Thus, to apply for re-issuance of the Enterprise Registration Certificate for a limited liability company, the company needs to prepare a written request for re-issuance of the Enterprise Registration Certificate.
