Short answer: Current law does not limit the minimum number of capital contributors to 02 or more as the question phrases it. On the contrary: a single-member LLC has only 01 member (an organization or individual) as owner; a multi-member LLC has from 02 to 50 members; a joint stock company has a minimum of 03 shareholders, with no maximum limit. These regulations are in the Law on Enterprises 2020 (as amended and supplemented in 2025).

  • “Can one person contribute capital to many companies?” — Yes. The law does not prohibit an individual/organization from simultaneously being a member or shareholder of many enterprises (except certain specific restrictions, e.g., officials and public employees may not establish or manage enterprises);
  • “Must there be at least 02 people to contribute capital?” — No. Single-member LLCs and private enterprises need only 01 owner;
  • When the number of members changes beyond the threshold of the type (e.g., a 2-member LLC left with only 01 member), the enterprise must convert its type accordingly.
