Short answer: Enterprise law does not prescribe a general minimum charter capital for a single-member LLC. The owner decides the charter capital appropriate to the business scale and lines. The only exception is conditional business lines/sectors where specialized law requires a minimum statutory capital (such as banking, insurance, securities, real estate business…).
Legal basis
- Article 75 of the Law on Enterprises 2020 — charter capital of a single-member LLC;
- Specialized laws prescribing statutory capital for conditional business lines/sectors.
Principles for determining charter capital
- The owner registers the charter capital amount; there is no general floor;
- Charter capital must suit actual financial capacity and the requirements of the business lines;
- For conditional business lines: the registered charter capital must not be lower than the statutory capital required by specialized law.
Capital contribution deadline
- The owner must fully contribute the registered charter capital within 90 days from the issuance of the Enterprise Registration Certificate;
- If the deadline expires without full contribution: the company must register an adjustment of charter capital to the actually contributed value within 30 days;
- The owner is liable for the company’s financial obligations within the registered charter capital, including the uncontributed portion.
Risks of registering too high or too low capital
- Capital too high relative to reality: failure to contribute fully within 90 days → must reduce capital with procedures; still liable according to the registered capital;
- Capital too low: reduced credibility with partners and banks; failure to meet statutory capital of conditional business lines → no license granted;
- Increasing/decreasing charter capital: a single-member LLC may increase or decrease charter capital by the owner’s decision and register the change with the Business Registration Office.
