1. Enterprises must register with the Business Registration Office when changing the contents of the Enterprise Registration Certificate prescribed in Article 28 of this Law.

2. Enterprises shall be responsible for registering changes to the contents of the Enterprise Registration Certificate within 10 days from the date of change.

3. Within 03 working days from the date of receipt of the dossier, the Business Registration Office shall be responsible for reviewing the validity of the dossier and issuing a new Enterprise Registration Certificate; where the dossier is invalid, the Business Registration Office must notify in writing the contents requiring amendment or supplementation to the enterprise. In case of refusal to issue a new Enterprise Registration Certificate, it must notify the enterprise in writing and clearly state the reasons.

4. Registration of changes to the contents of the Enterprise Registration Certificate under a Court or Arbitration decision shall be implemented in the following order and procedures:

a) The person requesting registration of changes to the contents of the Enterprise Registration Certificate shall send the change registration request to the competent Business Registration Office within 15 days from the date the Court’s legally effective judgment or decision or the Arbitration’s effective award takes effect. The registration dossier must be accompanied by a copy of the legally effective Court judgment or decision or the effective Arbitration award;

b) Within 03 working days from the date of receipt of the registration request prescribed in point a of this Clause, the Business Registration Office shall be responsible for reviewing and issuing a new Enterprise Registration Certificate in accordance with the legally effective Court judgment or decision or the effective Arbitration award; where the dossier is invalid, the Business Registration Office must notify in writing the contents requiring amendment or supplementation to the change registration requester. In case of refusal to issue a new Enterprise Registration Certificate, it must notify the change registration requester in writing and clearly state the reasons.

5. The Government shall prescribe the dossiers, order and procedures for registering changes to the contents of the Enterprise Registration Certificate.

Article 28 of the Law on Enterprises 2020 prescribes the contents of the Enterprise Registration Certificate as follows:

Contents of the Enterprise Registration Certificate

The Enterprise Registration Certificate includes the following key contents:

1. Enterprise name and enterprise code;

2. Head office address of the enterprise;

3. Full name, contact address, nationality, legal document number of the individual for the legal representative of limited liability companies and joint-stock companies; for general partners of partnership companies; for the owner of private enterprises. Full name, contact address, nationality, legal document number of the individual for members being individuals; name, enterprise code and head office address of members being organizations for limited liability companies;

4. Charter capital for companies, investment capital for private enterprises.

Accordingly, the full name, contact address, nationality and legal document number of general partners of a partnership company are among the key contents of the Enterprise Registration Certificate.

Therefore, when changing general partners, a partnership company must register with the Business Registration Office within 10 days from the date of change.
